License Roll Gap is a service of Internet Physics, Inc.
Who we are
License Roll Gap is a service of Internet Physics, Inc., a Delaware corporation (Delaware file number 10348328). In these terms, "we", "us" and "our" mean Internet Physics, Inc. acting under the name License Roll Gap, and "you" means the business that receives our free discovery sample or places an order with us.
Our services are for businesses only. By placing an order, you confirm that you act for a business and may bind it.
How License Roll Gap works
We work by email. When you ask for something that these terms and your order confirmation do not answer, we refer it to the officers of Internet Physics, Inc., and the answer reaches you by email from john@licenserollgap.com.
The free discovery sample
The free discovery sample costs nothing and commits you to nothing. It is not a trial: it never turns into a paid order, and we never ask for payment details to send it. We prepare at most one free discovery sample for each company, identified by its website domain. We build it only from public sources, as described below, and you may use it as you wish.
For a city, town, village or county government, the free discovery sample covers one licence category, chosen by us, for example licensed contractors or restaurants. It lists 25 businesses that have a public record in your jurisdiction and are not found on your public business licence roll or public licence lookup. For each business it gives only checkable facts: its name, the public record that places it in your jurisdiction (source, link, date read, and the quoted street address or work record), and the lookup of your public roll or licence lookup that did not find it (the roll file or lookup link, the date, and the names and addresses tried). The roll as we read it, with its date, is stored and sent with the sample.
We build it within 3 to 5 business days from public business listings (map and review directories and business websites), state business registrations, state contractor licence lists, public building-permit records where your government publishes them, and your public licence roll or public licence lookup. It needs nothing from you, and nothing is owed for it. We state only what the public record shows: your staff decide each business's status from your own records and rules, and your government writes and sends its own notices. We never contact the businesses we list.
What we do for paying customers
License Roll Gap first order
The first order is one purchase, sent to you as a one-page order confirmation by email and accepted by reply. It gives your government three things:
- One discovery list for your whole jurisdiction, across every licence category the public sources cover, delivered once. For each business it gives its name, the public record that places it in your jurisdiction (source, link, date read, and the quoted street address or work record), and the lookup of your public roll or licence lookup that did not find it (the roll file or lookup link, the date, and the names and addresses tried). The roll as we read it at listing, with its date, is stored and sent with the list.
- One refresh six months later, which re-reads your public roll or licence lookup and adds new businesses on the same terms.
- A quarterly reconciliation of your own receipt report against the businesses we listed and their listing dates, from which we compute each invoice.
We deliver the discovery list within 30 days of the day your government accepts the order.
We build the list and the refresh only from public sources: public business listings, state business registrations, state contractor licence lists, public building-permit records and your public roll or licence lookup. We never access your systems. The only thing you send us is your quarterly receipt report, described under "Prices and billing".
We state only what the public record shows. Your staff decide each listed business's status from your own records and rules, and your government writes and sends its own notices and collects its own fees. We never contact, notify or collect from any listed business.
The first order ends when its billing reaches the USD 4,500 cap, or when the 12-month window of the last business listed in the refresh has closed and the receipt report covering it has been invoiced, whichever comes first. Reaching the cap does not end the work: the refresh is still delivered, and nothing more is billed.
After the first order, we may offer your government a quarterly agreement on the same 35% rule, with a quarterly refresh, uncapped unless your government sets an annual cap. It is a new order that your government buys under its own rules. The first order does not renew automatically, and nothing is billed under it after it ends.
What's not included
- No contact with, notices to, or collection from any business: the government sends its own notices and collects
- No handling of the government's funds
- No audits of licensed businesses' gross receipts
- No licence administration, filing portal or software
- No access to the government's tax systems or sales-tax data
- No work in jurisdictions that do not levy a business licence tax or fee
- No statement that a listed business must hold a licence, owes a fee or is exempt: your staff decide each business's status from your own records and rules
- No drafting of notices or letters to businesses
Prices and billing
All prices are in US dollars and exclude any sales tax that applies by law. We bill only the events this section names; our own errors, retries and failed checks are never billed. We do not ask for payment details before you accept an order, and we start paid work only after you accept it as described in "How orders are made".
License Roll Gap first order, paid only on results: 35% of the business licence fees and back fees your government receives from businesses we listed, capped at USD 4,500 in total for the order, whenever billed. Nothing is owed otherwise. The terms below decide what is billed.
Baseline
The baseline is zero. Only businesses that were not on your roll at their listing date count. The roll as we read it at listing (the file or lookup results, with the date) is stored and sent with the list. The 25 businesses in your discovery sample count as listed on the date your government accepts the order.
Billable result
A billable result is a licence fee or back fee received by your government from a listed business, for a licence account the business opened after its listing date, with payment received within 12 months of that date.
Attribution
A receipt line is ours when your government's record shows the same business (the name or address on our list line) with an account opened after the listing date. It is not ours when your record shows any of these three things:
- an application, account or contact by your government with that business before the listing date;
- the business on the roll at listing under another name or address (your government names the account);
- the payment refunded.
Your government's record decides; no other evidence is weighed.
Measurement
We measure only from your government's own receipt report, which your government emails to hello@licenserollgap.com within 30 days of each quarter's end. It gives, for each listed business that paid, the list line, the date the account was opened, and the amounts received and their dates. We never access your systems.
Timing
We invoice within 10 business days of receiving each report. Each invoice is due on your government's standard payment terms, and at most 45 days from the invoice. If a report has not arrived 30 days after it is due, we ask for it by email once a week; nothing is estimated in its place.
Zero results
If no listed business pays, nothing is owed. There is no minimum and no up-front fee.
Disputes
Your government may mark any invoice line not attributable, naming one of the three reasons under "Attribution", within 30 days of the invoice, by replying to the invoice email or emailing hello@licenserollgap.com. The line is removed and a corrected invoice sent. Nothing is disputed beyond your government's record.
Collection
We send each invoice by email from john@licenserollgap.com to the invoice address named in the accepted order. It is paid by ACH, wire or cheque to Internet Physics, Inc.; payment instructions come with the invoice. We never receive or hold your government's funds or any business's payment.
Cap
The cap is USD 4,500 in total for the first order, whenever billed. Receipt lines past the cap are not billed.
Never billed
We never bill the discovery sample, a business that was on your roll at its listing date, a line that is not ours for one of the three reasons, a payment received more than 12 months after the business's listing date, any amount past the cap, or an estimate for a report we have not received.
Cancelling an order
The first order does not renew automatically. You may cancel it at any time by replying CANCEL to any email from us, or by emailing hello@licenserollgap.com with the word CANCEL; no reason is needed, and we confirm the cancellation by email. If you cancel before we deliver the discovery list, nothing is owed. If you cancel after it, we deliver nothing further, and receipt lines from businesses already listed stay billable under these terms, within their 12-month windows and the USD 4,500 cap.
Guarantees and refunds
Every guarantee we offer, with its conditions, and our refund rule are on our guarantee page at https://licenserollgap.com/guarantee. A promise that is not on that page or in your order confirmation is not a guarantee we make.
How orders are made
We send you an order confirmation by email from john@licenserollgap.com. It states what we will do, the price and the guarantee that apply. An order is made when you reply to it with "Yes, I accept". The order confirmation and these terms are our whole agreement for that order; if they differ, the order confirmation applies.
Your responsibilities
You confirm that the information and files you send us are accurate and that you have the right to give them to us for the work you order. You use what we deliver in compliance with the laws that apply to you.
In these terms, a city, town, village or county government that receives our discovery sample or places an order with us counts as the business. The official who accepts the order confirms that your government's posted purchasing rules let that official accept it alone, and names the address to which invoices go.
Under the first order, your government emails its receipt report within 30 days of each quarter's end until the order ends. Your staff decide each listed business's status from your own records and rules, and your government writes and sends its own notices and collects its own fees. To dispute an invoice line, mark it within 30 days of the invoice, as "Prices and billing" says.
Your material and our work
You keep all rights in the material you send us. Once you have paid for an order, what we deliver under it is yours to use and change. We keep the right to reuse our general methods and know-how, but not your material or your deliverables. How we handle personal information is described in our privacy policy at https://licenserollgap.com/privacy.
Confidentiality
We keep the non-public information you send us confidential, use it only to do your work, and share it only with the kinds of service providers our privacy policy names. This does not cover information that is public or that you have told us we may share.
No promise of results
We promise the work described in your order, not a business result such as replies, meetings, sales or revenue, unless a guarantee on our guarantee page says otherwise. Estimates, examples and benchmarks we share are not promises.
A listing states only what public records show: each listing links to its public record and to the lookup of your roll as we read it. We do not promise that a listed business must hold a licence, owes a fee, is still operating or will register or pay, or that any amount will be collected.
Limitation of liability
Apart from the work described in your order and the guarantees on our guarantee page, we make no other warranties, express or implied. The free discovery sample is provided as is.
Except for amounts you owe for work delivered, each party's total liability arising out of or relating to these terms or any order is limited to the amount you paid us under the order concerned in the 12 months before the claim arose. Neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, even if told they were possible. Nothing in these terms limits liability that cannot be limited by law.
Ending an order
Either of us may end an order that is not yet finished, by email, if the other seriously breaks these terms and does not fix it within 15 days of being told. You then pay for the work delivered up to that point, and we refund what you paid for work not delivered.
Changes to these terms
We may change these terms by publishing a new version on this page with a new effective date. An order keeps the terms in force when it was made. For a plan that renews automatically, we email you any change at least 30 days before it applies to you, and you may cancel before then.
Governing law and disputes
These terms and every order are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Before either of us starts a legal claim, we try for 30 days to settle the matter by email. A claim that is not settled is brought only in the state or federal courts located in Delaware, and both of us accept their jurisdiction.
General
You may not transfer an order to someone else without our agreement by email. If a court finds part of these terms unenforceable, the rest still applies. Notices under these terms are given by email: ours come from john@licenserollgap.com, and yours go to hello@licenserollgap.com.
